ASSOCIATION OF MARMELADAIS OVERSEAS (AMO)
SECTION 1
NAME
It is founded between us the residents of Marmelade and the members of this present statute, a non-profit association called Association of Marmeladian Overseas with the acronym (AMO)
Section 2
GOALS
The goals of the organization are to:
a) Recruit and train citizens and encourage them to work together in AMO's fight
b) Contribute to cultural, socio-economic development and above all to promote free education for needy children and aid to civic and political education for citizens of all classes in the city of Marmelade, Haiti.
c) To help the members of the said organization to find adequate training in matters of organization.
d) Contribute to the improvement of the image of Haiti especially Marmelade both inside and outside through the promotion of our cultural and touristic values.
SECTION 3
THE HEAD OFFICE
It is headquartered in the United States of America. However, its seat may be transferred to another country according to the wishes of the executive committee, approved by the extraordinary general assembly.
Section 4
DURATION
The duration of the organization is unlimited.
SECTION 5
MEMBERS AND CONTRIBUTIONS
The organization is composed of 3 categories of members who are spread in all the corners of the world where there are Marmeladians
a) Honorary members are the members of the Board of Directors. They are committed to making the organization work by giving their service voluntarily with loyalty. They will pay their annual fee
b) Benefactor members are those who will pay an entrance fee and an annual contribution. They do not, however, need to take part in all the activities of the organization. In this case they are considered passive members of the organization.
c) Active or adherent members are those who will join the organization. They undertake to participate regularly in all the activities of the AMO, they will contribute to all the projects, and they will pay their entrance fee and their annual subscription.
d) The internal regulations will set the amount of the entrance fees and the annual contributions.
Section 7
ROLE OF THE EXECUTIVE COMMITTEE
a) To conduct and generally administer the affairs of which concern the AMO
b) Meet at least once a month but several times a month in case of emergency.
c) Convene an ordinary general meeting every six months. In the event of an emergency, an extraordinary general meeting can always be convened before six months.
SECTION 6
ADMINISTRATION COUNCIL
a) The organization is administered by a committee of eleven members
A president
A vice president
Secretary
An assistant secretary
A treasurer
An assistant treasurer.

b) An AMO representation committee will be appointed in Marmelade to represent us in the execution of our various activities
c) The administration committee is elected for two years.
Members are indefinitely re-eligible.
d) - AMO is also assisted by an advisory board composed of dignitaries of the organization.
Section 7
ROLE OF THE EXECUTIVE COMMITTEE
a) To conduct and generally administer the affairs of which concern the AMO
b) Meet at least once a month but several times a month in case of emergency.
c) Convene an ordinary general meeting every six months. In the event of an emergency, an extraordinary general meeting can always be convened before six months.
Section 8
DUTIES OF MEMBERS OF THE EXECUTIVE COMMITTEE
a) The President convenes the Executive Committee and directs all AMO activities.
b) It enforces the statute and internal laws of the organization.
c) He represents the organization in all circumstances and transmits the results to the general assembly.
d) It maintains and maintains relations with other national and international social organizations.
e) He signs jointly with the secretariat all the official documents, the minutes of the working sessions of the steering committee and the general assembly
Section 9
Role of the vice-president
a) The vice-president replaces the president in his absence
b) In the work sessions of the executive committee and the general assembly, he can help the president with the various tasks assigned to him.
c) In case of resignation of the president, the vice-president will ensure the interim, the 1st secretary will become vice-president, the 2nd secretary will occupy the place of the 1st secretary, one of the people in charge of public relations or one of the advisers will become 2nd secretary. An active member will become an advisor, just to fill the administrative vacuum before the next extraordinary general meeting.
Section 10
Roles of secretaries
Secretaries are responsible for correspondence, drafting and presentation of the minutes of all AMO working sessions.
a) They keep the seals and archives of AMO.
b) They sign jointly with the president all the official documents, the minutes of the working sessions of the executive committee and the general assembly.
Section 11
Role of treasurers
a) Treasurers receive all entries for the organization
b) Any sum exceeding $100.00 US after three days must be deposited in the bank on the account of the AMO.
c) They present the financial statement of the organization at each meeting and send copies to the president and the secretary.
d) They sign jointly with the president and the secretaries all the documents committing the AMO to credits, expenses and income
Section 12
The signatures of the president, the secretariat and the treasury are the only ones valid to carry out any transaction on the account of the AMO.
Section 13
ROLES OF PUBLIC RELATIONS OFFICERS
Public relations managers have a fundamental role, since they are the ones responsible for promoting the organization to the public.
Their roles are:
a) Promote the association by various means in agreement with the executive committee, such as publicity campaigns, conferences and events.
b) Exercising their public relations functions using the various means of communication, such as the written press, interviews, reports and propaganda.
c) They accompany the Presidency in its various delegations and in other tasks.
Section 14
ADVISOR ROLES
Advisors are full members of the organization. They are also there to assist the administration by providing the necessary advice for the good of the AMO.
Section 15
To be a member of the Board of Directors you must:
a) Be an adherent or active member of the AMO for at least one year.
b) Agree to respect the statute, the internal regulations and the decisions of the general assembly in accordance with article 16 of the present statute.
SECTION 16
THE ADVISORY COUNCIL
a) The advisory council is an undeniable advantage for the Association of Marmeladian Overseas.
b) It is a group of founding members of the AMO and external specialists as needed.
c) The council meets regularly 3 to 5 times a year with the coordination in order to give opinions and advice on the orientations to be taken for the smooth running of the association. In other words, he is a support organ for AMO.
c) The members of the advisory council do not have the right to vote and have no legal responsibility with regard to the association. However a member can vote if he is part of the executive committee.
d) The advisory board shows other ways of thinking, discussing, approaching problems and suggesting solutions to the members of the executive committee.
e) All founding members of the association are automatically qualified to be a member of the advisory board.
f) The Advisory Council may constitute a legal committee to try a member before sanctioning him. The internal regulations will define the formula. And the verdict of the legal committee must be pronounced in an extraordinary assembly. However, the decision of the legal committee is final.
Section 17
WRITE-OFFS
a) The executive committee has the right to terminate the services of a member for violation of laws, embezzlement or other so as not to tarnish the image of the AMO
b) Membership is lost by: resignation, death, non-payment of dues and treason.
d) For having made unhealthy remarks aimed at disturbing or compromising the proper functioning of the AMO
c) For theft, sabotage of the property and materials of the organization and any actions deemed by the assembly to be non-compliant with the regulations of the organization. The decision must be taken after the verdict pronounced in an extraordinary general meeting.
SECTION 18
MEMBERSHIPS
The organization may affiliate or join other organizations, unions or groups by decision of the general assembly. Similarly, other organizations can affiliate to the AMO. The internal regulations will define the modalities.
SECTION 19
RESOURCES
The resources of the organization come from:
a) Entrance fees and annual dues
b) Donations and income from the activities of the organization
Rule 20
GENERAL ASSEMBLY
a) The General Assembly is the supreme body of the organization. When the general assembly is not convened, the executive committee is the only one to take all measures concerning the decisions relating to the general assembly.
b) The General Assembly is composed of the members of the organization and of the executive committee of all the other active organizations affiliated to the AMO.
Section 21
The list of delegates chosen to represent the other organizations must be forwarded to the office of the executive committee fifteen days before the date of the general assembly.
Rule 22
The ordinary general meeting will be held every six months. Affiliated organizations will receive an invitation note mentioning the date, the duration and bearing the signature of the presidency and the secretariat one month in advance.
Section 23
The General Assembly may be convened on an extraordinary basis by decision of the Executive Committee or at the request of the majority of the affiliated organisations.
Section 24
The purpose of the general assembly is to:
1) To decide on all the reports submitted by the executive committee. It approves or rejects all or part of the reports. It makes all the modifications deemed necessary to the programs of the AMO.
2) Discuss, approve or reject action plans for future projects of the organization.
3) Elect a new committee if necessary
4) Amend the statute and the internal regulations it will convene an extraordinary general assembly, according to the methods provided for by this present statute.
The convening procedures are the same as for the ordinary general meeting.
SECTION 26
INTERNAL RULES
Internal regulations can be drawn up by the executive committee, which then has them approved by the general assembly.
This possible regulation is intended to fix the various points not envisaged by the present statutes, in particular those which relate to the internal administration of the organization.
Section 27
DISSOLUTION
a) In case of dissolution of the said organization its assets will be transferred as a donation to the charitable organizations of Haiti, those who share the objective of the organization will be the luckiest.
b) The members of the steering committee will find the best formula to select the beneficiary organizations.
Section 28
As soon as this statute comes into force, the executive committee will undertake to submit and enforce all the articles of the statute.
This present statute has been revised, corrected and adopted by all the founding members OF THE ASSOCIATION OF MARMELADAIS D'OUTRE-MER
( AMO ).
